2. Services
SpartaDesign360 provides custom digital services on a project or retainer basis. All services are subject to a separate project agreement or order confirmation that outlines the specific scope, timeline, and pricing. These Terms of Service govern the overall relationship between you and SpartaDesign360.
We reserve the right to refuse service to anyone at our sole discretion.
3. Payments and Billing
- All fees are quoted in US Dollars (USD)
- Payment is due as specified in your project agreement or invoice
- We accept Stripe (all major credit/debit cards, Apple Pay, Google Pay) and PayPal
- Retainer services are billed monthly on the date of initial payment
- Late payments may result in suspension of services and a late fee of 1.5% per month on outstanding balances
- All prices are exclusive of applicable taxes unless stated otherwise
4. Refunds
All payments are non-refundable once work has commenced. Please review our full Refund Policy for complete details, including the 2-day post-delivery review window.
5. Client Responsibilities
To ensure timely and successful project delivery, you agree to:
- Provide all required content, assets, access credentials, and approvals in a timely manner
- Respond to communications and review requests within agreed timelines
- Ensure all content provided to us does not infringe on third-party intellectual property rights
- Provide accurate business information for any accounts we create on your behalf
- Not share access credentials provided by SpartaDesign360 with unauthorized parties
Project delays caused by your failure to meet these responsibilities do not entitle you to a refund or discount.
6. Intellectual Property
Your content
You retain ownership of all content, logos, images, and materials you provide to us. You grant SpartaDesign360 a license to use this content solely for the purpose of delivering your project.
Deliverables
Upon receipt of full payment, all custom deliverables created specifically for your project (website, logos, graphics, written content) become your property. We retain the right to display completed work in our portfolio unless you request otherwise in writing.
Our tools and processes
Our internal processes, templates, frameworks, and proprietary tools remain the intellectual property of SpartaDesign360 and Sparta Media Solutions LLC, regardless of their use in your project.
Third-party assets
We may incorporate licensed third-party assets (stock images, fonts, plugins) in your project. We will inform you of any licenses you need to maintain independently after project handoff.
7. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of the project. This obligation survives termination of the service relationship.
8. Website Use
You agree not to:
- Use our website for any unlawful purpose
- Attempt to gain unauthorized access to our systems or client data
- Transmit malware, viruses, or harmful code
- Scrape, copy, or reproduce our website content without permission
- Use our name, logo, or branding without prior written consent
9. Limitation of Liability
To the maximum extent permitted by law, SpartaDesign360 and Sparta Media Solutions LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, including but not limited to lost profits, lost data, or business interruption.
Our total liability to you for any claim arising from these Terms or our services shall not exceed the total amount paid by you to SpartaDesign360 in the 3 months preceding the claim.
10. Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific results from SEO, marketing, or advertising services, as outcomes depend on factors outside our control including search engine algorithms and market conditions.
11. Termination
Either party may terminate the service relationship with written notice. Upon termination:
- All outstanding balances become immediately due
- Work completed up to the termination date is billable and non-refundable
- We will provide you with all completed deliverables upon receipt of final payment
- Recurring service subscriptions will not be renewed after the current billing period
12. Governing Law
These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Michigan, and you consent to personal jurisdiction in such courts.
13. Changes to These Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after changes take effect constitutes acceptance.
14. Entire Agreement
These Terms, together with any project agreement and our Privacy Policy and Refund Policy, constitute the entire agreement between you and SpartaDesign360 regarding our services and supersede all prior agreements and understandings.
